By accessing this website or placing orders for XRLL products, you represent and warrant that:

• You are at least 18 years of age and have the legal authority to enter into binding contracts.
• You are acting on behalf of a business entity and have the authorization to bind that entity to these Terms.
• You will use our website and products only for lawful commercial purposes.
• All information you provide to us is accurate, current, and complete.

If you do not agree to these Terms, please do not use our website or place orders with us.

2.1 Product Range

XRLL designs, manufactures, and supplies a range of LED lighting products for automotive, commercial vehicle, industrial, and off-road applications, including but not limited to:

• Off-road LED light bars and driving lights
• LED forklift safety lights
• Warning and beacon lights
• LED work lights
• Truck and trailer lights
• LED matrix panels
• Snow plow lights

2.2 Product Specifications

We make every effort to ensure that product descriptions, images, technical specifications, and certifications displayed on our website are accurate. However:

• Product images are for reference and may differ slightly from actual products.
• Technical specifications are subject to change without prior notice as we continuously improve our products.
• Customers should verify specifications with our sales team before placing orders, especially for OEM/ODM custom requirements.

2.3 OEM/ODM Services

We offer OEM and ODM manufacturing services subject to separate agreements covering tooling, minimum order quantities, lead times, intellectual property rights, and quality standards. Contact our sales team for details.

3.1 Pricing

• All prices are quoted in US Dollars (USD) unless otherwise stated.
• Quoted prices are valid for the period specified in the quotation (typically 30 days) and are subject to change due to raw material costs, exchange rates, or other market factors.
• Prices do not include shipping costs, import duties, taxes, or customs clearance fees unless explicitly stated.

3.2 Payment Terms

• Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipment (T/T).
• Alternative payment methods (L/C, Western Union, PayPal) are available upon agreement.
• All payments are subject to bank processing fees, which are borne by the respective party unless otherwise agreed.
• XRLL reserves the right to suspend or cancel orders if payment is not received within the agreed timeframe.

3.3 Trade Terms

• Standard trade terms follow Incoterms 2020 (EXW, FOB, CIF, DDP, etc.) as specified in each purchase order.
• Risk of loss and title transfer as defined by the agreed Incoterm.

4.1 Order Confirmation

All orders are subject to acceptance by XRLL. A purchase order becomes binding only after we issue a written order confirmation or proforma invoice.

4.2 Lead Times

• Standard product lead time: 15-30 business days from order confirmation and deposit receipt, depending on product type and order quantity.
• Lead times are estimates provided in good faith. Delays caused by force majeure events, supply chain disruptions, or customer-requested changes are not our responsibility.

4.3 Shipping

• We arrange shipping via reputable freight forwarders. Customers may also nominate their own logistics provider.
• Customers are responsible for providing accurate shipping information and ensuring someone is available to receive the delivery.
• Customers should inspect goods upon receipt and report any damage or shortage within 7 calendar days.

5.1 Product Warranty

• XRLL LED lighting products carry a standard warranty of 2 years from the date of shipment (or as specified in the product listing or quotation).
• The warranty covers manufacturing defects in materials and workmanship under normal use and installation in accordance with our guidelines.
• Warranty remedies are limited to repair, replacement, or credit at XRLL’s discretion.

5.2 Warranty Exclusions

The warranty does not cover damage or failure resulting from:

• Improper installation, wiring, or modification not performed by qualified personnel.
• Misuse, abuse, accidents, or operation outside specified voltage/current ranges.
• Normal wear and tear, including cosmetic damage.
• Use with incompatible electrical systems or power supplies.
• Force majeure events (natural disasters, floods, lightning strikes, etc.).

5.3 Disclaimer

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, XRLL MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

To the maximum extent permitted by applicable law:

• XRLL’s total aggregate liability for any claim arising under or in connection with these Terms or any product sold shall not exceed the total amount paid by the customer for the specific product(s) giving rise to the claim.
• XRLL shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, loss of data, or business interruption.
• These limitations apply regardless of the legal theory upon which the claim is based (contract, tort, strict liability, or otherwise).

• All trademarks, logos, product designs, website content, and intellectual property displayed on our website are owned by or licensed to XRLL.
• You may not reproduce, distribute, or create derivative works from our content without prior written permission.
• For OEM/ODM projects, intellectual property ownership of custom designs will be addressed in the separate manufacturing agreement.

• These Terms are governed by the laws of the People’s Republic of China, without regard to conflict of law principles.
• Any disputes arising from or related to these Terms or our products shall first be resolved through good-faith negotiation.
• If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Guangzhou, in accordance with its then-effective rules. The arbitral award shall be final and binding.
• The language of arbitration shall be Chinese and English.

Neither party shall be liable for delays or failure to perform obligations under these Terms if such delay or failure is caused by events beyond their reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, government actions, strikes, supply chain disruptions, or acts of God. The affected party must notify the other party promptly and use reasonable efforts to mitigate the impact.

XRLL reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date. Continued use of our website or placement of new orders after changes are posted constitutes acceptance of the revised Terms. Existing orders placed before the change date remain subject to the Terms in effect at the time of order confirmation.
